Terms of Service
These Terms of Service ("Terms") govern your access to and use of IntraSafe Vigil (the "Service"), operated by NextCadence LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you are at least 18 years old, have the authority to bind your organization to these Terms, and agree to comply with them. If you do not agree, do not use the Service.
2. Description of Service
IntraSafe Vigil is a security coordination platform for volunteer teams. The Service includes features such as team check-in, panic alerts, playbook access, live coordination, and related functionality as described on our website.
3. Accounts and Access
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend accounts that violate these Terms.
Organization administrators are responsible for managing their team members' access and ensuring their team's use of the Service complies with these Terms.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Transmit false alerts, false emergencies, or misleading information through the Service
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or otherwise transfer your rights to use the Service
Important: The Service is a coordination tool and does not replace trained security professionals, law enforcement, or emergency services. Always contact 911 in life-threatening emergencies.
5. Subscription and Payment
Paid plans are billed monthly in advance. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Your continued use after a price change constitutes acceptance of the new pricing. Payment is processed by Stripe.
If payment fails, we may suspend your access to paid features until payment is resolved. We will attempt to notify you before suspension.
6. Free Tier
We offer a free Lite tier subject to usage limits as described on our pricing page. We reserve the right to modify or discontinue the free tier with 30 days' notice.
7. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of NextCadence LLC. You retain ownership of any data you submit to the Service. You grant us a limited license to use your data solely to provide and improve the Service.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTCADENCE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless NextCadence LLC from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your organization's security activities.
11. Termination
You may cancel your account at any time from your billing settings. We may terminate or suspend your access immediately, without notice, for violations of these Terms. Upon termination, your right to use the Service ceases. We will retain your data for 30 days post-termination before deletion, unless you request immediate deletion.
12. Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Utah County, Utah.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 14 days before they take effect. Your continued use after changes take effect constitutes acceptance.
